This website provides an overview of Japanese laws and regulations applicable to Japanese companies listed on the Tokyo Stock Exchange (TSE). While many of the topics covered on this website – such as directors’ duties and liabilities – are applicable to privately held companies, the primary focus of this website is on publicly listed companies. Many of the mandatory rules explained here may be relaxed for privately held companies.

The author, Junzaburo (also known as JB) Kiuchi, has over 25 years of experience in corporate law and M&A. Dual-qualified in Japan and the United States, and having worked with clients from various countries, he has the ability to understand and bridge the differences that arise from different jurisdictions and cultural contexts. JB has extensive experience advising both domestic and international clients on M&A, joint ventures, private equity, and venture capital investments, as well as general corporate and commercial matters. 本サイトは、いわゆる「上場会社法」の分野、すなわち、上場企業のガバナンスや、上場企業を対象とするM&A・投資に関わる、主要な法令・ソフトローについて、英語で解説しようとするものです。
筆者は、主にクロスボーダーのM&Aを取り扱ってきた弁護士です。クロスボーダーM&Aでは、当地の会社法、証券法、外資規制、独禁法などを調査することが法務面での第一歩となります。本サイトは、外国企業と日本企業との対話の手助けになればとの思いから制作しました。
