Companies Act reform: Company’s right to require information about the beneficial owners of shares [Feb ’25]
On 10 February 2025, the Minister of Justice requested that the Legilative Council explore potential revisions to the Companies Act to enable listed companies to identify the beneficial owners of shares held by custodians.
Currently, a company has to engage a service firm to conduct a survey of the beneficial owners behind the street names; however, this survey does not guarantee complete accuracy. A Large Shareholding Report must be filed by beneficial owners who exceed the 5% threshold, but there is no means to identify those beneficial owners who hold 5% or less.
